MD Banca de Inversión acted as the exclusive financial advisor to Italcol in the acquisition of certain assets of Corporación Fernández.
Italcol S.A. is a Colombian agribusiness company with +36 companies in a wide variety of industries and annual revenue of USD2,140m, specializing in the production of concentrated animal feeds, the sale of raw materials, and the preparation of premixes. Headquartered in Bogotá, the company was established on February 18, 1970, and has since expanded its operations across Colombia, Ecuador, Perú and Panama, operating 20 production plants in these countries. The company offers a diverse range of products catering to various animal species, including poultry, swine, cattle, equines, fish, and pets. Notably, Italcol Pets, a division of the company, has over 15 years of experience in the pet food market and is recognized as the largest pet food manufacturer in Colombia.
Corporación Fernández S.A. is a leading Ecuadorian company specializing in the production, processing, and commercialization of meat products and mass-consumption foods. Headquartered in Guayaquil, the company operates under a vertically integrated model that encompasses the entire value chain—from grain cultivation and animal husbandry to processing and retail distribution. Their product portfolio includes beef, poultry, pork, and a variety of processed meats. Founded in the early 1990s by Eugenio Fernández, the company began as a small butcher shop and has since evolved into a national enterprise with over 1,000 employees. As of 2023, Corporación Fernández reported a net sales revenue of $60 million.
After understanding the potential opportunity with the client, MD Banca de Inversión designed an asset acquisition strategy for 11 assets, including chicken farms, incubators, industrial plants and vehicles. MD Banca de Inversión led the buy-side advisory in the acquisition process, resulting in the takeover of 11 strategic assets from Corporación Fernández.
